1. Acceptance of Terms
Welcome to Opendio. By accessing or using the Opendio platform at opendio.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you by email or a prominent notice on the Service. Your continued use after changes are posted constitutes acceptance of the revised Terms.
2. Description of Service
Opendio is an AI marketplace built on the Open-To Protocol. The platform enables users and organizations to broadcast availability states ("Open-To States"), discover collaborators and opportunities through AI-powered matching, and transact in a marketplace for AI models, datasets, services, and more.
Key features include:
- Publishing and managing Open-To States across 12 domains
- AI-powered matching and discovery
- Marketplace transactions for AI assets and services
- Inquiry and messaging system
- Public API and MCP (Model Context Protocol) endpoint for AI agents
- Profile and organization management
3. Account Registration
To use most features of the Service, you must create an account. You may register using an email address or through a supported OAuth provider (Google, GitHub, Microsoft, Apple, or a Web3 wallet).
You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any information that becomes inaccurate
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 16 years of age to create an account. By registering, you represent that you meet this age requirement.
4. Open-To States
4.1 Publishing
When you create an Open-To State, you broadcast your availability or intent to the platform. States have visibility settings (public, connections, unlisted, or private) that control who can discover them. Public states may be accessible to other users, AI agents, and third-party services via our API.
4.2 Accuracy
You are responsible for ensuring that your Open-To States are accurate and up to date. Misleading or fraudulent states may result in account suspension or termination. You should update or complete states that are no longer relevant.
4.3 AI Processing
By publishing Open-To States, you consent to their processing by our AI matching algorithms and, for public states, by third-party AI agents accessing the platform via our public API or MCP endpoint.
5. Marketplace Transactions
The Service may facilitate transactions between users for AI models, datasets, services, and other digital assets. Opendio acts as a platform facilitator, not a party to transactions between users.
- Sellers are responsible for the accuracy of their listings and the quality of deliverables
- Buyers should review all listing details before completing a transaction
- Payment processing is handled by third-party payment processors
- Disputes between users should first be resolved directly; Opendio may mediate at its discretion
- Opendio may charge platform fees on transactions, disclosed at the time of purchase
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Post false, misleading, or fraudulent Open-To States or profile information
- Harass, abuse, threaten, or intimidate other users
- Distribute malware, viruses, or other harmful code
- Scrape, crawl, or collect data from the Service without authorization
- Circumvent rate limits, access controls, or security features
- Impersonate another person or entity
- Use automated systems to create accounts or interact with the Service in ways that violate these Terms
- Sell, resell, or exploit the Service for unauthorized commercial purposes
- Interfere with or disrupt the integrity or performance of the Service
7. Intellectual Property
7.1 Opendio IP
The Service, including its design, code, algorithms, branding, and documentation, is owned by Opendio, Inc. and protected by intellectual property laws. These Terms do not grant you any right to use the Opendio name, logo, or trademarks without prior written consent.
7.2 Your Content
You retain ownership of content you post on the Service. By posting content, you grant Opendio a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and improving the Service, including AI matching and marketplace features.
7.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by Opendio without obligation to you.
8. API and MCP Access
Opendio provides a public API and MCP endpoint for programmatic access. Use of the API is subject to:
- Rate limits and usage quotas based on your account tier
- API key authentication; you are responsible for keeping your keys secure
- Attribution requirements when displaying Opendio data in third-party applications
- Prohibition of reselling raw API data without prior written agreement
We reserve the right to modify, restrict, or discontinue API access at any time with reasonable notice.
9. Account Tiers and Payments
The Service offers multiple account tiers (Free, Pro, Business, Enterprise) with different feature sets and limits. Paid tiers are billed on a recurring basis. You agree to pay all fees associated with your selected tier.

- We may change pricing with 30 days advance notice
- Downgrades take effect at the end of the current billing period
- Refunds are handled on a case-by-case basis
10. Termination
You may delete your account at any time through your account settings. We may suspend or terminate your account if we believe you have violated these Terms or for other legitimate business reasons, with or without notice.
Upon termination, your right to use the Service ceases immediately. We will delete or anonymize your personal data within 30 days of account deletion, except where retention is required by law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Opendio does not guarantee that the Service will be uninterrupted, error-free, or secure. AI-powered features, including matching and recommendations, are provided for informational purposes and should not be relied upon as the sole basis for decisions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENDIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You agree to indemnify and hold harmless Opendio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Opendio.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
